• Legal Advice:

The legal advice is deemed by our clients as the base that underpins their  decision-making phase for running their businesses. Assiduous to observe the sensitivity and importance of this phase, the company took upon itself the necessity to provide the required legal advice to our clients , paving their way ahead and enabling them make the right decisions depending on the right interpretation and application of the prevailing laws, regulations, circulars, judicial verdicts and previous convictions. Our keenness towards providing our clients with the quality legal advice shall not cause us miss the importance of the time factor to our clients.

• Contract Drafting:

The obligations of  commercial companies and enterprises towards each other or third parties may not take place except under written and signed contracts which include the items that keep the rights and obligations of each party towards the other. Consequently, drafting a contract is very crucial to the initiation of such rights, obligations and contract's inclusions such as drafting, organizing the items and selecting the right and clear legal words and terms that interpret the provisions of the contract's items, highlighting the parties' intentions, contract's methods of implementation and providing for the right solutions in case that either of the parties breaches its contractual obligations.

• Establishment of Companies and Modifications of Contracts:

In this regard our company assumes drafting of companies' establishment contracts and modifying the establishment contracts of the existing companies from all types (Joint Stock Companies, Limited Liability Companies, General Partnership Companies,  Limited Partnership Company, Stock Partnership Companies and Joint Adventure Companies). • Companies Merger:

The business practical reality may require some companies to merge with each other (consolidation) yet, resulting in the formation of a new company or may require a company to acquire another existing company (acquisition). • Companies Liquidation:

The occurrence of one of the legally stated company dissolution reasons leads to cessation of its operations and entering into the phase or stage of liquidation, which means turning all its assets into cash,  in order to settle its debts and distribute the remainder (if any) among the partners as set forth in the company's contract. In this regard our company assumes all required legal actions to conduct the liquidation and elimination of the company as a legal personality together with the subsequent cancellation of its licenses and commercial records.     

Along time ago, manufacturers and producers have adopted distributing their goods and products through agents or specialized distributors with technical and financial abilities to carry out this role, ensuring the distribution of such commodities and products to the largest segment possible among the consumers. The need for agents and distributors increases in case the distribution district locates outside the region of these manufacturers and producers. Perceiving the importance of the commercial relations that connect the manufacturers and producers with their agents and distributors, we have always been assiduous to draft the commercial agencies' contracts. This is achieved by combining them in a manner that ensures the implementation of agency contract so easily, keeping the rights of each party during the contract term or at the time of its termination. Also, our company assumes all legal procedures before the official bodies to register the contracts of  these commercial agencies.

Each one produces commodities and products under a trademark created to distinct its commodities and products from the other similar ones. No wonder that now a days we see trademarks with values exceeding the values of the products on which they are shown.

In this regard our company assumes on behalf of its clients the trademark registration procedures at the Ministry of Commerce and Industry or any of its branches. If the registration has been rejected we object to such rejection before his excellency the minister or the administrative court until the trademark is registered or reasonable Justification or reasons for non-registration is presented.

The employees  make one of the most important elements on which our client depend for doing their businesses and commercial activities. Perceiving the importance of the relation between employers and their employees, the company has been very keen in drafting work contracts according to the provisions of the labor law, this is achieved in a way that ensures the interests of each party, giving everyone his/her right during the contract term or at its termination date. Actually, our role does not stop merely by drafting the work contracts which regulate the relation between our clients and their employees, but it goes beyond that as we follow them up to go abreast with any modification (whether deletion or addition) to the texts and articles therein in order to ensure practicing the role for which it is formulated.

Our company represents its clients on the cases raised for or against them before all Sharia courts, administrative courts, judicial bodies and committees. It pleads and defends them according to the adopted judicial and professional standards as well as the prevailing regulations. For example trade dispute cases, administrative cases, labor cases, commercial documents (checks, bills, bonds) cases, customs cases, division of legacies, fulfillment of financial commitments to third parties, enforcement of sentences. We study these cases, draft and prepare their regulations, reply notes and objection procedures , until its completion and issuance of final enforceable judgment.   

Many of our clients have contracts with government offices, institutions, companies or bodies, either for providing maintenance and operations, supply, public works or advisory service. Our role here is to study such contracts to provide our legal opinion and recommendations in a way that enables our client implement these contracts without any obstacles.  

Practicing some commercial and manufacturing activities may require getting licenses from some concerned government areas, where the practice may not be possible without getting such licenses. Our company takes all the legal procedures to get the necessary licenses such as the foreign investment license which enables our clients start their activities. These procedures may also include the modification of such licenses.
